Bacalhau End User License Agreement (EULA)
By downloading, installing, or using Bacalhau, you are agreeing to be bound by the terms and conditions of this EULA. If you do not agree to the terms of this EULA, do not download or use the software.
1. License Grant: Expanso, Inc. hereby grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and use Bacalhau, solely for your internal use, and strictly in accordance with the terms of this agreement. “Internal use” means use by yourself or your organization’s employees, contractors, or other personnel for your or your organization’s internal business operations and excludes commercial distribution, making publicly availability, or used to provide services to third parties.
2. Restrictions: You shall not, nor permit anyone else to, directly or indirectly: modify, reverse engineer, decompile or disassemble this software; redistribute, sell, rent, lease, sublicense, or otherwise transfer rights to the software; or remove any proprietary notices on the software.
3. Open Source Software: If you have separately obtained the source code for the [Software Name], you shall have all the rights granted to you by any open source licenses for the source code. Your acceptance of this EULA does not affect any rights or obligations you may have, or conditions to which you may be subject, under such open source licenses.
4. No Trademark License: This EULA does not grant any license or right to use any trademarks, service marks, trade names, logos, or other branding elements of Expanso, Inc. or [Software Name] (“Trademarks”), whether registered or unregistered. All such Trademarks remain the exclusive property of Expanso, Inc. and any use of the Trademarks requires a separate written agreement.
5. Termination: This EULA is in effect until Expanso, Inc. notifies you of its termination, except that your rights under this EULA terminate automatically without notice if you fail to comply with sections 1, 2, or 5 of this EULA. Termination of the EULA terminates all licenses granted herein.
6. DISCLAIMER OF WARRANTY: THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING AS TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. EXPANSO, INC. DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.
7. Limitation of Liability: In no event shall Expanso, Inc. be liable for any damages (including, without limitation, lost profits, business interruption, or lost information) arising out of the use of or inability to use the software, even if Expanso, Inc. has been advised of the possibility of such damages.
8. Governing Law: This EULA is governed by the laws of United State of America without regard to its conflict of laws principles or the United Nations Convention on Contracts for the International Sale of Goods and you consent to the jurisdiction of the state and federal courts for King County in the State of Washington.
